Ongoing support and assistance: Provide infrastructure and ongoing support to the franchisee. Favourable purchasing conditions: Negotiate beneficial agreements with suppliers to optimise costs and quality. Operations manual: Draft, update and ensure compliance with the operations manual. Proven business model: Have a profitable pilot company that acts as a reference within the franchise network (&#8220;flagship&#8221;). Respect for territorial exclusivity: Grant the franchisee the right of exclusivity within the assigned territory, if this is set out in the contract.

What obligations are there before signing the franchise contract?

In the phase before signing the franchise contract, both the franchisor and the future franchisee assume pre-contractual obligations: Franchisor&#8217;s obligations: It must provide in writing, at least 20 days in advance, essential information to enable the franchisee to make an informed decision (article 3 of Spanish Royal Decree 201/2010). Franchisee&#8217;s obligations: It must maintain the confidentiality of the information received, avoiding any disclosure or misuse.

What are the grounds for termination of a franchise contract?

The termination of the franchise contract can apply to both fixed-term and open-ended contracts. The main grounds for termination are as follows: Supervening impossibility: Situations such as the death or liquidation of one of the parties (especially the franchisee) may terminate the contract, except in cases of non-transferable rights (article 1.257 of the Spanish Civil Code). If the personal conditions of the franchisee are essential for the contract, it can be terminated even without a prior agreement. Impossibility of purpose: If there is a significant alteration that prevents the performance of the contract, it will be terminated (article 1.184 of the Spanish Civil Code). One of the main reasons may be the non-existence of the franchise as a concept, either due to lack of actual know-how or lack of training, operations manuals, etc. Serious breach of contract: The breach must be serious for it to be considered as grounds for termination (Spanish Supreme Court judgment of 18 July 2012). In such cases, the performing party may terminate the contract (article 1.124 of the Spanish Civil Code) by notifying the other party without notice and with the right to compensation. The defect in consent becomes serious and is common when the breach occurs due to lack of the necessary pre-contractual information, which every franchisor must give to the potential franchisee, 20 days before the signing of the franchise contract and/or any payment is made as a result of that contract.

What are the effects of terminating the franchise contract?

Upon termination of the franchise contract, both parties must settle the contractual relationship. This means: Cessation of activity: The franchisee must stop operating the business using the franchisor&#8217;s trademark. Return of items handed over: Assets, materials and other items provided by the franchisor must be returned. Cancellation of operations in progress: Orders, supplies and any pending transactions are interrupted. Post-contractual commitments: They may include non-competition, confidentiality or other clauses agreed in the contract.
